These Terms & Conditions (“Terms”) govern your access to and use of the website, services, content, communications, accounts, applications, portals, programs, community event interactions, and related offerings made available by Sovereign Wave LLC d/b/a SovrenMD (“SovrenMD,” “we,” “us,” or “our”). By accessing, visiting, enrolling in, purchasing, using, or interacting with any of our offerings, you agree to be bound by these Terms.
These Terms apply to all current and future offerings made available by or through SovrenMD, including, without limitation, telehealth-enabled services where available, membership-based services, preventive and longitudinal support programs, connected-care or device-enabled support pathways, health-information organization and summary services, care-navigation support, educational resources, diagnostic coordination support, sleep-related support pathways, flexible payment pathways, giftable or sponsored benefits, community and event-based enrollment activities, and partner-enabled service pathways (collectively, the “Services”).
If you do not agree to these Terms, do not access or use the Services.
1. Florida-First Scope; Multistate Limitation
SovrenMD is organized and operated with Florida as its principal legal and operational reference point. Services are primarily intended for use in Florida unless and until SovrenMD expressly makes particular Services available elsewhere.
If a Service is made available outside Florida, that Service remains subject to the laws of the jurisdiction where the user or patient is physically located at the time the Service is rendered or accessed, together with any applicable federal law. SovrenMD may deny, limit, suspend, or delay any Service based on licensure, registration, state law, prescribing rules, privacy rules, reimbursement rules, fraud-risk concerns, clinical appropriateness, staffing, technology limitations, or other legal or operational requirements.
2. Nature of the Business and Services
SovrenMD operates as a hybrid health-support and care-access platform with both clinical and non-clinical elements. Some Services may involve licensed clinicians or licensed clinical entities. Other Services are non-clinical and may include operational support, education, administrative coordination, family and care-partner support, appointment preparation, records organization, summaries, communications support, event enrollment, technology enablement, logistics, and continuity support.
Not every Service constitutes the practice of medicine, nursing, pharmacy, psychology, therapy, or any other licensed profession. Not every interaction creates a provider-patient relationship. Unless expressly stated otherwise, non-clinical Services are intended to support understanding, continuity, convenience, engagement, and access, and are not a substitute for diagnosis, treatment, or emergency care.
SovrenMD may also support clinics, physician groups, hospitals, community organizations, and other lawful care settings through non-clinical administrative, logistics, technology, education, support, or coordination functions pursuant to separate agreements. Nothing in these Terms authorizes the unlicensed practice of medicine or any improper control over independent clinical judgment.
3. Eligibility
You may use the Services only if you can legally form a binding agreement and, where relevant, legally consent to care or related services under applicable law. If you are a minor, a parent or lawful guardian must provide any required consent and participate to the extent required by law.
You represent that all information you provide to SovrenMD is accurate, current, complete, and truthful, including your identity, age, location, health information, payment information, and contact information.
4. No Emergency Services
THE SERVICES ARE NOT EMERGENCY SERVICES.
Do not use the Services for medical emergencies, psychiatric emergencies, or situations requiring immediate in-person intervention. Call 911 or seek immediate local emergency care if you believe you are experiencing an emergency, including severe chest pain, severe shortness of breath, stroke-like symptoms, loss of consciousness, severe bleeding, seizures, suicidal intent, or any rapidly worsening condition.
5. Clinical Services; Independent Clinical Judgment
Where a Service includes a licensed clinician or licensed clinical entity, all clinical decisions remain within the independent professional judgment of the applicable licensed professional or clinical entity. No membership, payment arrangement, community event, support interaction, summary, device reading, operational workflow, or business relationship shall obligate any clinician to diagnose, prescribe, order tests, interpret results, or provide treatment in any particular way.
Telehealth and other remote or technology-enabled services may not be appropriate for all conditions, all patients, all states, or all circumstances. A clinician may require in-person evaluation, testing, imaging, specialist referral, emergency evaluation, or other escalation at any time.
6. Non-Clinical Services and Role Boundaries
SovrenMD may offer non-clinical Services designed to improve continuity, comprehension, coordination, adherence, engagement, and convenience. These may include, by way of example only, health-story organization, visit preparation, records consolidation, summary generation, administrative follow-up, care-pathway support, general education, support communications, family-partner support, device setup assistance, logistics support, and similar support activities.
Non-clinical personnel do not diagnose, prescribe, independently interpret clinical results as medical advice, or replace licensed clinicians. Any information provided through non-clinical support channels is informational and operational unless expressly identified as individualized clinical advice from a licensed professional.
7. Memberships and Program Structure
SovrenMD may offer household, individual, condition-focused, preventive, premium, community, sponsored, or other membership or program structures. Memberships may include access to selected support features, educational content, organizational tools, coordination support, preferred pricing, event access, summaries, onboarding support, device-enabled support pathways, and future additions or modifications as determined by SovrenMD.
Memberships are not insurance, are not a health plan, do not satisfy any requirement to maintain health coverage, and do not guarantee payment or reimbursement by any insurer, employer, plan, or government program. Memberships do not guarantee that any particular clinical service, physician, test, device, prescription, diagnosis, or outcome will be available or appropriate.
8. Community Events, Health Fairs, and Public-Facing Activities
SovrenMD may participate in or organize health fairs, screenings, community events, educational activities, enrollment events, and similar programs. Such events may include general education, intake, support discussions, informational screening, community enrollment, or introductions to available Services.
Unless expressly stated otherwise, community-event participation does not by itself establish a provider-patient relationship. Screenings, educational interactions, and informal support at community events are not a substitute for formal medical evaluation, diagnosis, or treatment.
9. Connected Tools, Device-Enabled Support, and Longitudinal Programs
Some Services may involve connected tools, home-use devices, sensors, wearables, communications tools, or device-enabled support pathways intended to help with continuity, awareness, engagement, follow-through, or trend support over time.
These Services are supplemental. They do not guarantee continuous monitoring, constant observation, immediate review, real-time emergency detection, uninterrupted connectivity, or prevention of adverse events. Readings may be delayed, incomplete, inaccurate, interrupted, or clinically non-actionable in isolation. Device-based or technology-enabled support is not a substitute for personal judgment, emergency response, or in-person care when needed.
10. Health Summaries, Story Consolidation, and Information Support
SovrenMD may create, organize, structure, reformat, summarize, or present health-related information that you provide or authorize us to obtain. This may include health histories, symptom timelines, records organization, medication lists, visit preparation tools, trend summaries, family-shareable materials, clinician-shareable materials, and related continuity documents.
Unless expressly stated otherwise, such materials are intended to support understanding, continuity, communication, and organization. They do not replace official medical records, physician documentation, formal test reports, or individualized medical advice.
11. Sleep, Diagnostics, and Future Specialty Pathways
SovrenMD may offer or facilitate access to sleep-related, diagnostics-related, chronic-condition-related, specialty, preventive, or future pathway-based Services, directly or through partners, where legally and operationally appropriate. Availability of these Services may vary by state, licensure, vendor support, patient eligibility, clinician judgment, supply, and applicable law.
SovrenMD may add, revise, suspend, or discontinue any Service pathway at any time.
12. User Responsibilities
You agree to: provide accurate, complete, current, and truthful information; keep your account credentials secure and confidential; promptly update any material change in your condition, medications, location, insurance, or contact information; use devices, tools, and support features in accordance with provided instructions; respond reasonably to outreach where your participation is needed to deliver a Service; use the Services only for lawful and intended purposes; and seek in-person, urgent, or emergency care when appropriate.
You acknowledge that incomplete or inaccurate information, lack of follow-through, misuse of devices, nonresponse, or failure to seek in-person care when needed may reduce service quality, reduce continuity, increase risk, or prevent delivery of certain Services.
13. Consent to Electronic Communications
By using the Services, you consent to receive communications from SovrenMD and, where applicable, its authorized service providers or clinical partners by email, phone, text message, portal message, video platform, and other electronic means regarding scheduling, onboarding, records, summaries, support, billing, membership matters, education, operational updates, and legally required notices.
Message and data rates may apply. You are responsible for maintaining a working phone number, email address, and any needed connectivity.
14. Consent to Records Requests and Information Exchange
You authorize SovrenMD, where legally permitted and operationally necessary, to request, receive, use, disclose, transmit, and maintain records, information, and documents relevant to the Services, including records from healthcare providers, clinics, hospitals, labs, pharmacies, imaging centers, device partners, and other involved parties, subject to applicable law and any separate privacy notice or authorization requirements.
You may opt out of certain records-request activities by writing to info@sovrenmd.com, but doing so may limit or prevent our ability to provide some Services.
15. Privacy, Security, and Data Governance
SovrenMD seeks to comply with applicable federal and state privacy and security laws, including HIPAA where applicable, the HIPAA Security Rule, the HIPAA Privacy Rule, and the Florida Information Protection Act where applicable.
Your use of the Services is also subject to any separate Privacy Policy, Notice of Privacy Practices, consent form, and authorization form we provide. In the event of a conflict between these Terms and a legally required privacy notice or consent document, the more specific document will control to the extent of the conflict.
16. Payment Terms
Certain Services require payment in advance, recurring membership fees, one-time fees, installment payments, deferred payments, deposits, device-related charges, shipping-related charges, replacement fees, or partner-billed charges.
You agree to pay all applicable charges associated with the Services you select or use. Unless otherwise required by law or expressly stated in writing, fees for completed consultations, rendered services, activated memberships, delivered digital materials, shipped items, reserved time, administrative processing, and used Services are generally non-refundable.
SovrenMD may change pricing, fees, included features, billing intervals, and offering structures at any time, subject to applicable law and any specific plan terms.
17. Auto-Renewal and Recurring Billing
If you enroll in a recurring membership or recurring paid Service, you authorize SovrenMD or its authorized payment processor to charge your designated payment method on a recurring basis according to the applicable plan terms until cancellation, suspension, or termination.
You are responsible for keeping payment information current. Failed or reversed payments may lead to suspension, cancellation, late restrictions, loss of benefits, collections activity where lawful, or denial of future Services.
18. Flexible Payment Pathways; No Credit Guarantee
SovrenMD may, directly or through third parties, offer installment plans, deferred payment options, courtesy arrangements, limited hardship pathways, or other payment accommodations. Such pathways are discretionary, may have separate terms, and may be changed or withdrawn at any time.
SovrenMD does not guarantee approval for any financing, installment, or pay-later option.
19. Sponsored Access, Vouchers, Donor Support, and Subsidized Pathways
SovrenMD may offer, facilitate, or coordinate sponsored access, community support, courtesy support, donor-funded support, religiously compatible giving pathways, vouchers, or subsidized Service pathways where legally and operationally appropriate.
These pathways are limited, discretionary, and subject to separate criteria, availability, operational capacity, and legal constraints. They do not create a right to future free or discounted Services. Sponsored, donor-supported, or subsidized access may be modified, paused, denied, or discontinued at any time.
20. No Insurance Product; No Promise of Reimbursement
The Services, memberships, sponsored pathways, and support features are not insurance products and are not intended to function as insurance unless expressly stated in a separate regulated product document. SovrenMD does not guarantee coverage, reimbursement, coding outcomes, claims payment, prior authorization approval, or any particular payer treatment.
Any pricing illustration, member savings statement, or comparative cost statement is informational only.
21. Compliance With Referral, Kickback, and Split-Fee Laws
Nothing in these Terms, in any publicly described Service, or in any user interaction shall be interpreted to require, permit, or excuse any unlawful referral arrangement, patient-brokering arrangement, kickback, or split-fee arrangement. Florida law prohibits patient brokering and prohibits certain kickbacks and split-fee arrangements tied to patient referrals, and these Terms are intended to be read narrowly to avoid any unlawful construction.
To the extent any offering, discount, relationship, sponsored arrangement, clinic interaction, or benefit could be construed in a way that would be unlawful under applicable law, it shall be automatically limited to the maximum lawful extent, or unavailable where necessary.
22. Partner and Clinic Relationships
SovrenMD may maintain relationships with clinics, licensed professionals, vendors, diagnostic partners, community organizations, and other third parties. Those relationships may be governed by separate agreements and may involve non-clinical management, logistics, technology, support, administrative, or coordination services.
Public-facing website users are not third-party beneficiaries of any partner agreement unless expressly stated in writing.
23. Intellectual Property
All website content, designs, branding, names, logos, workflows, text, summaries, graphics, educational resources, scripts, forms, and related materials made available by SovrenMD are owned by SovrenMD or its licensors unless otherwise stated.
You may not copy, scrape, republish, modify, distribute, reverse engineer, sell, license, or exploit any part of the Services or related materials for commercial or competitive purposes without prior written permission.
24. Acceptable Use
You may not: use the Services unlawfully or fraudulently; impersonate another person; submit false, misleading, or unauthorized information; use another person's payment method, records, benefits, or credentials without authorization; interfere with website, account, device, or platform security; harass, threaten, abuse, or discriminate against staff, clinicians, contractors, or other users; misuse support, messaging, event, or enrollment channels; or attempt to obtain prescriptions, devices, benefits, or support through deception, coercion, or abusive conduct.
25. Suspension and Termination
SovrenMD may suspend, restrict, or terminate access to any Service, account, pathway, feature, or program at any time, with or without notice where permitted by law, if we reasonably believe that: you violated these Terms; fraud, abuse, misrepresentation, or security risk exists; continued service is clinically inappropriate or operationally unworkable; payment obligations are not satisfied; required licensure, partner support, technology, or legal authority is unavailable; or termination is needed to protect users, clinicians, staff, vendors, or the organization.
26. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY.
SovrenMD does not warrant that the Services will always be available, secure, timely, error-free, clinically appropriate, reimbursable, or suitable for your specific circumstances.
27. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOVEREGNMD AND ITS OWNERS, OFFICERS, MANAGERS, EMPLOYEES, CONTRACTORS, CLINICIANS, AFFILIATES, LICENSORS, VENDORS, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OPPORTUNITY, OR USE, ARISING OUT OF OR RELATING TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOVEREGNMD'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF: (a) THE AMOUNT YOU PAID TO SOVEREGNMD FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (b) ONE HUNDRED U.S. DOLLARS ($100).
Nothing in these Terms limits liability to the extent such limitation is prohibited by law.
28. Indemnification
You agree to defend, indemnify, and hold harmless SovrenMD and its owners, officers, managers, employees, contractors, clinicians, affiliates, licensors, vendors, agents, and partners from and against any claims, demands, actions, damages, losses, liabilities, judgments, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: your use or misuse of the Services; your breach of these Terms; your violation of law; your false, incomplete, or unauthorized submissions; or your negligent, abusive, fraudulent, or unlawful conduct.
29. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except to the extent superseded by applicable federal law.
Any dispute arising out of or relating to these Terms or the Services shall first be submitted to good-faith informal negotiation. If not resolved, the dispute shall be resolved by binding individual arbitration in Florida, except that either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction for misuse of confidential information, protected data, or intellectual property.
To the maximum extent permitted by law, disputes must be brought on an individual basis only, and not as a class, collective, consolidated, representative, or private-attorney-general action.
30. Electronic Acceptance
Your use of a checkbox, click-through acceptance, typed name, online enrollment, payment submission, portal acceptance, or continued use of the Services after notice of updated Terms constitutes your electronic signature and agreement to these Terms to the extent permitted by law.
31. Changes to Terms and Services
SovrenMD may revise these Terms from time to time to reflect changes in law, regulation, privacy, telehealth requirements, cybersecurity, operational needs, pricing, vendor support, offerings, or business practices. Updated Terms become effective on the posted effective date unless a later date is stated.
SovrenMD may also add, modify, suspend, narrow, expand, or discontinue any feature, pathway, membership, pricing structure, partner-supported offering, event program, or support model at any time, subject to applicable law.
32. Severability; Waiver; Entire Agreement
If any provision of these Terms is held invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.
No waiver by SovrenMD of any breach or right shall constitute a waiver of any other breach or right.
These Terms, together with any applicable Privacy Policy, Notice of Privacy Practices, telehealth consent, financial policy, device consent, program enrollment terms, and other incorporated documents, constitute the entire agreement between you and SovrenMD regarding the Services unless superseded by a separate written agreement signed by an authorized representative of SovrenMD.
